A special committee of the board that is generally inclusive of the board chair and key leaders such as the vice chair, treasurer, and secretary of the nonprofit; this committee often meets more frequently than the full board and in some cases has the authority to make more substantial decisions on matters such as contracts; the rules and structure of this committee should be clearly defined in a nonprofit’s bylaws.
